At the Annual General Meeting of Precise Biometrics AB on 19 May 2022, a consolidation of shares was resolved upon, whereby ten existing shares will be consolidated into one new share (consolidation 1:10). In accordance with the Annual General Meeting’s authorization, the Board of Directors has now determined that the record date for the consolidation of shares shall be 10 June 2022.
The Board of Directors of Precise Biometrics has determined that the record date for the consolidation of shares shall be 10 June 2022, which means that the last day for trading in the share prior to the consolidation is 8 June 2022, and the first day for trading in the consolidated share is 9 June 2022. This means that the share price as from and including 9 June 2022 will reflect the effect of the consolidation.
The consolidation will result in a decrease of the total number of shares in the company from 395,963,940 to 39,596,394. The consolidation will result in a change of the share’s quota value from SEK 0.03 to approximately SEK 0.3.
As a result of the consolidation, the shares in Precise Biometrics will as from and including 9 June 2022 change ISIN code. The new ISIN code is SE0018013849.
The consolidation of the company’s shares will be effected automatically via Euroclear Sweden AB and shareholders do not need to take any action. If a shareholders’ holding of shares does not correspond to a full number of new shares, the excessive shares will pass to the company at the record date and excessive shares will thereafter be sold by Vator Securities AB at the company’s expense, whereafter concerned shareholders automatically will receive their part of the sales proceeds.
In order to create maximum flexibility, the Board of Directors has also resolved to extend the period for subscription of warrants in the warrants program for the company’s incoming CEO Patrick Höijer adopted by the Annual General Meeting. According to the Board’s decision, subscription for the subscription warrants shall be made on a separate subscription list on 18 November 2022 at the latest.
